TERMS AND CONDITIONS OF SALE

In these terms and conditions Satelliet Browns are referred to as “The Company”, “The Customer” means the person, company, partnership or agent thereof who has placed an order and is subsequently invoiced for “Goods” or “Services” by The Company.

 

1.01.0 ORDERS are only accepted subject to these terms and conditions of sale. Any conditions of purchase used by The Customer are hereby rejected unless agreement in writing is given by The Company.

 

1.02.0 SMALL ORDERS All trade orders less than £1,999 (ex VAT) will be subject to small order administration charge of £85.00 (ex VAT)    

 

2.01.0 PRICE Orders are accepted at the price ruling at the date of receipt of order. This price shall be held for 30 days from date of order. All subsequent deliveries from date of order shall be at price ruling at date of invoice.

 

2.01.1 The Company reserves the right to alter prices and specifications without prior notice.

 

2.02.0 All prices quoted on Quotations, Orders and Invoices are subject to the current rate of VAT at the time of delivery.

 

2.02.1 “Top-Up” orders under £2,000 will be subject to higher unit charge and full delivery charge.

 

2.03.0 PAYMENT Our trading terms are normally 50% of total on order* followed by the balance as cleared funds at least one day prior to delivery The Company does not normally** operate credit account facilities although payment on delivery can be made available by special arrangement, however only cleared funds can be accepted. (i.e. Cash, Bankers Draft, Credit or Debit Card etc). Company Cheques will only be accepted a minimum of 7 days prior to delivery. Internet Orders MUST be paid in full with order.

 

2.03.1 N.B.* Some “non stock” or “special” orders may require 100% “pro forma” payment with order (all non account** or pro-forma orders will not be processed until deposit or full payment is received)

 

2.03.2 All deposits paid are non refundable in any circumstances.

 

2.03.3** Credit Facilities are only available by special arrangement and subject to status. On these rare occasions our terms are Strictly 30 Days from Invoice.

 

2.04.0 DELIVERY All orders are quoted ex works, should The Customer require The Company to arrange delivery a minimum charge of £85.00 + VAT will be applied. (all deliveries are subject to tailgate drop at kerbside of premises. Off loading and assembly are available by arrangement and subject to surcharge depending on size of load).

 

2.04.1 The Company reserves the right to pass on and The Customer agrees to pay the cost of any parking charges or parking fines that are incurred during delivery to the customers’ premises, our delivery staff will endeavour to avoid parking fines etc at all times however on some occasions this will not be possible.

 

2.04.2 Deliveries and/or on site work outside normal working hours (09.00 – 17.00) will be subject to a minimum surcharge of £350.00 + VAT  

 

2.04.3 On contracts necessitating extended delivery, progressive payments will be required.

 

2.04.4 Where The Customer cannot take delivery at agreed time The Company reserves the right to request full payment on invoice and as an extra service The Company can supply storage charged on a week to week basis.

 

2.04.5 DELIVERY/COMPLETION DATES The Company will use it's best endeavours consistent with current conditions to effect delivery/completion on the date agreed at time of order. However, no guarantee is given or implied in this respect

 

2.04.6 RISK The risk in the goods supplied by The Company shall pass to The Customer on delivery. Except where The Customer requires a special method of shipment or uses their own carriers, risk shall pass to The Customer when the goods leave The Company's premises.

 

2.04.7 Any claim for goods damaged in transit or shortages must be made in writing to the Carriers and The Company within three days of receipt of goods, otherwise The Company cannot accept any responsibility for loss or damage. Writing “unchecked” on delivery notes will not be acceptable and removes any liability from The Company.
(no credit notes can be issued until goods are returned to our warehouse properly packed to avoid further damage)

 

 

3.01.0 In the event of The Customer's cheque not being honoured by their bank upon presentation, The Company reserves the right to charge The Customer £50.00 + VAT.

 

3.01.1 If any sums payable to The Company remain unpaid, through no fault of The Company, The Customer shall pay interest to The Company at a rate of 2% of outstanding balance per calendar month, accruing daily from date payment was due, until the date full payment is received by The Company.

 

4.01.0 RETENTION OF TITLE. Until full payment of the invoice price of any goods plus any interest due is received by The Company, any goods supplied shall remain the sole property of The Company. Goods shall not be re-sold and shall be kept separate by The Customer. If payment remains unpaid The Customer agrees to allow entry to The Customers’ or other premises to recover The Company’s goods. Retention of title does not affect The Company’s other legal rights with regard to the collection of payment.

 

5.01.0 CUSTOMERS OWN FURNITURE  As regards items of furniture left with the company for repair/refurbishment etc., the risk of loss or damage shall at all times lie with The Customer and in no circumstances shall The Company be liable for the loss of or damage to such items. The Company can however arrange indemnity cover for such goods, for an additional charge, at time of order on request of The Customer.
 
5.01.1 CUSTOMER'S OWN FURNITURE The Company reserves the right to charge storage after 1 month on a week to week basis for goods left with The Company for pricing.
 
5.01.2 LATENT DEFECTS The Company shall not be responsible for any latent defects in the frame, mechanical actions or supporting fabrics of The Customer's own furniture.

 

6.01.0 CANCELLATION If for any reason The Customer requires to cancel the order, The Company reserves the right to charge the cost of all materials and labour which have been specially purchased for that order. The Company also reserves the right to levy an administration charge of £50 or 5% of total order, whichever is greater.

 

7.01.0 GUARANTEE The Company guarantees that all materials supplied are reasonably fit for the purpose used and are of merchantable quality.

 

7.01.1 Any fault in material, manufacture or workmanship will be remedied without charge to The Customer provided that The Company is notified in writing within three months from delivery date and that alleged fault is not the result of accidental or wilful damage or normal wear and tear.

 

8.01.0 SPECIFICATION Illustrations, descriptions, dimensions and colours given in the Company's literature are given as a general guide only and must not be taken as binding in detail

 

8.01.1 MATERIALS/POLISHING SHADES Colours of actual materials/polishing shades may vary slightly from the samples shown at time of order and are not guaranteed to be a precise match.

 

8.01.2 COLOUR MATCHING Orders are taken on the strict understanding that exact matching between split orders or co-ordinating products cannot be guaranteed  (i.e. The Company may use more than one supplier to complete an order)

 

9.01.0 WORKMANSHIP Modern upholstery techniques demand the use of staples, tacks, studs, sticking etc. Where these are not intended to be seen every effort will be made to conceal them. However on certain fabrics or materials and due to the construction of some frames, this is not always possible. Total concealment is therefore not guaranteed. 

 

9.01.1 On most upholstered products The Company uses branded labels, platform linen and bottom piece, if The Customer requires a non-branded linen or labels used this can be done at an additional charge to The Customer at their request.

 

9.01.2 Supply of rattan products and other hand made products some deviations may occur. Reclamation from snagging of clothes etc will not be accepted by The Company
 
10.01.0 DESIGNS All schemes, layouts, drawings and patterns remain the property of The Company and may not be used by a third party without prior written consent, and full payment of all consultancy fees and expenses.


CARE AND MAINTENANCE

POLISHED SURFACES

The Do's ensure there is protection between the polished surface and any items placed on it, i.e. good quality cork matting or heat resistant table felt (which can be supplied by The Company)

Use a dry lint free cloth for regular cleaning and every six months make a solution of one tablespoon of vinegar to a litre of water, wipe over polished surface and immediately dry with a lint free cloth.

The Don'ts please do not place anything directly on the polished surface until a period of at least five days has elapsed from completion.

At no time should direct heat be applied to the polished surface. If liquid is spilt on surface this should be mopped up and dried as soon as possible.

Avoid prolonged exposure to sunlight or close proximity to heat source.

The Company does not recommend the use of wax polish, spray or otherwise on the polished surface

UPHOLSTERY CARE

Fabric or Vinyl

Regular and careful vacuum cleaning is advised. Most stains can be removed by lightly sponging with clear, lukewarm water. Mop up spills as soon as possible. The Company strongly recommends our 5-year anti stain warranty (Further details available from Sales Office)

Leather

The Company advises against the use of chemicals, detergents or furniture polish, leather can be cleaned with a lukewarm solution of soap flakes and water followed by rinsing, then buff dry with a clean lint free cloth. The Company recommends our 5-Year Leather Warranty, which is supplied with a leather care kit (Further details available from Sales Office). Remember leather is a natural product, which may have imperfections as part of its character and does not affect its durability.
